Participation
in the Crazy
Summer Challenge Campaign (“Challenge”)
organized by Crazy Labs Ltd. (“CrazyLabs”)
is subject to your agreement (as an individual or on behalf of a corporate entity which you confirm you are
authorized to represent) to the following terms (“Terms”):
The
Challenge.
CrazyLabs invites developers to submit hyper casual gameplay videos and marketable game builds for testing (CPI
test) on its CLIK Dashboard during the Challenge Period (“Submissions”)
to determine whether to enter into a close collaboration for focused personalized guidance to realize their true
potential and to benefit from its offerings. You may apply to the Challenge on the landing page
and by applying you agree to these Terms. If you already have a contractual relationship with CrazyLabs to
deliver Submissions for testing under CrazyLabs’ other agreements, programs or campaigns and you may apply to
the Challenge by ticking the box “Crazy Summer Challenge candidate” button on the CLIK Dashboard in connection
with Submissions you wish to deliver thereunder, and by applying you agree to these Terms, which will replace
your current agreement with CrazyLabs solely in connection with such Submissions.
If
a Submission meets the above conditions and achieves the applicable success KPIs, you undertake
to continue working on the applicable game according to CrazyLabs requirements, and if your game build in connection
with a Submission achieves all CrazyLabs success KPIs, you may be offered to enter into CrazyLabs’ publishing
agreement in connection with such game.
Conditions.
(i) There is no game submitted to or published in the Apple AppStore or Google Play with identical or
substantially similar gameplay and art style to a Submission; (ii) A Submission (or another substantially
similar version or game) is not currently or was not previously submitted to or presented to any other third
party publisher by you; (iii) A Submission is based on a concept created and developed by you; (iv) A Submission
is delivered as required within the Challenge Period and is approved for testing by CrazyLabs, the applicable
app stores and applicable ad networks; and (v) No third party software, services or elements (particularly SDKs
and the like) which process or send personal information relating to a game’s end users) will be included,
implemented or used by you in or in connection with a Submission except as expressly requested by Company (by
e-mail).
Timetable.
The Challenge will open for Challenge Submissions on August
3, 2022 and
continue
until October 20, 2022 (“Challenge
Period”).
Payments.
You
may be entitled to receive the following payments:
Success.
If an approved Submission which you develop that meets the conditions achieves the applicable success KPIs, you
may be entitled to receive a one-time payment based on the results achieved as specified in the following
table:
If
an approved game build developed by you in connection with a Submission passes all CrazyLabs’ success KPIs and is
fully commercially released by October 20, 2022 under a publishing agreement concluded between you and CrazyLabs,
you will be entitled 55%
(fifty
five percent) of net revenue generated in connection with the game as defined therein for a period of 1 (one)
year.
Delivery.
For
delivery during the Challenge Period of the first 3 (three) approved Submissions in connection with unique
games that meet the conditions, you will be entitled to receive an amount of US$500
(five hundred US dollars); and
For
delivery during the Challenge Period of additional 4 (four) approved Submissions in connection with unique games
that meet the conditions, you will be entitled to receive an amount of US$700
(seven
hundred US dollars).
You
will not be entitled to any payment or other consideration with respect to a Challenge Submission except as
explicitly stated herein. All payments hereunder are fully recoupable against any first future payments that may
be due to you after full commercial release of any game resulting from a Challenge Submission.
Proprietary
Rights.
Your Submissions under the Challenge and further developments in connection therewith are proprietary to
CrazyLabs and you irrevocably
assign to CrazyLabs all rights therein, related thereto and arising therefrom and forever waive and agree never
to assert any moral rights therein (including identification of authorship or limitation on subsequent
modification) and any claims in connection therewith. If CrazyLabs finally abandons a Submission in writing, you
may take back the rights in the software code of the last specific version thereof created by you and abandoned
by CrazyLabs, in the form in which it was delivered.
Term.
These Terms are effective as of the date you agree to them and continue until terminated by written notice by
CrazyLabs.
Confidentiality.
All information relating to the Challenge, Submissions and the CLIK Dashboard (including discussions relating
thereto), and all other confidential or proprietary knowledge, data, information or material furnished to you or
to which you are exposed as a result thereof, constitute CrazyLabs’ confidential information, and you agree to
hold same in strict confidence and not publish, disclose or otherwise make it available to others, and not use
it except for performance of these Terms.
Representations
and Warranties.
By participating in the Challenge you represent and warrant that: (i) you are an authorized representative of
the developer identified in the CLIK Dashboard account with full legal authority to enter into and agree to
these Terms and form a binding agreement with CrazyLabs on developer’s behalf; (ii) you are the sole owner or
licensor of your Submissions; (iii) the Submissions do not infringe any law or third party rights or give rise
to a legal claim; and (iv) you are not a person included
on any of the restricted party lists maintained by the EU, UK, UN and/or the U.S. Government under applicable
trade and economic sanctions, export control, and anti-boycott laws and regulations (“Trade
Restrictions”)
and/or owned or controlled by a restricted party or a country under Trade Restrictions.
Law.
These Terms are governed by the law of Israel, excluding its conflict of law rules, and you hereby agree to
submit to the personal and exclusive jurisdiction of the courts located in Tel – Aviv, Israel.
General.
These Terms supersede all prior agreements signed between you and CrazyLabs related to the subject matter
hereof. If a section hereof is held invalid or unenforceable by a competent court, it will not affect the
validity of the other sections and will be substituted with a valid and enforceable one which most closely
approximates the original section.
